Terms of Service

These Terms of Service govern access to and use of FIRMA Systems Inc. ("FIRMA", "we", "us", or "our"). By using FIRMA, creating an account, or accessing a workspace, you agree to these terms.

This page is provided for general information and should be reviewed by legal counsel before production use.

FIRMA provides software for controlled environment agriculture operations, including planning, tasks, crops, inventory, orders, analytics, storefronts, and customer-facing workflows.

We may improve, modify, suspend, or discontinue parts of the service over time. We will make reasonable efforts to avoid material disruption to active customers.

Customers are responsible for account security, user permissions, workspace configuration, and activity under their organization. Users must provide accurate information and keep credentials confidential.

Organization administrators are responsible for inviting users, removing access when appropriate, and ensuring that their use of FIRMA complies with applicable laws and internal policies.

Customers retain ownership of data they submit to FIRMA. You grant us the rights needed to host, process, transmit, display, and back up that data to provide the service.

You are responsible for the accuracy, legality, and quality of customer data, including any personal information collected through storefronts or customer portals.

Paid plans, trials, subscription terms, taxes, renewals, and payment processing may be described during checkout or in an order form. Unless otherwise stated, fees are non-refundable except as required by law.

We may update pricing or plan packaging with notice where required. Continued use after a billing change takes effect means you accept the updated terms.

You may not misuse FIRMA, interfere with platform security, reverse engineer the service, upload unlawful content, use the service to violate privacy rights, or attempt unauthorized access to systems or data.

We may suspend access if we believe use of the service creates legal, security, operational, or reputational risk.

FIRMA is provided on an "as is" and "as available" basis except where a separate written agreement says otherwise. We do not guarantee uninterrupted availability, error-free operation, crop performance, business results, or compliance outcomes.

To the maximum extent permitted by law, FIRMA will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

Any liability cap should be reviewed and finalized in production terms or customer order forms by legal counsel.
